Music Usage Terms

These musical works are composed, produced, and distributed by the composer “Nyalpaca.”

Users may use these musical works in accordance with the music usage terms set forth below (hereinafter referred to as the “Music Usage Terms”).

By using the audio files, the user is deemed to have agreed to these Music Usage Terms.

Ownership of Rights and Management

All copyrights, neighboring rights, and any other rights under copyright law and other intellectual property laws arising from these musical works belong to “Nyalpaca.”

These Music Usage Terms grant permission to use the musical works only under the conditions specified herein and do not transfer or assign any rights in the musical works.

The musical works are managed directly by “Nyalpaca” and are not entrusted to copyright management organizations such as JASRAC.

Some musical works by “Nyalpaca” are managed solely in the “broadcasting” field by NexTone Inc. through the music publisher Mureka Inc. (excluding certain works).

Because this management is limited to blanket licenses for broadcasters, use for video production purposes is free of charge.

In addition, commercials are non-managed for both reproduction and broadcasting (royalty-free), and may therefore also be used free of charge.

Conditions of Use

The musical works may be used in videos, live streams, audio productions such as podcasts or drama CDs, or as background music in physical spaces.

They may be used by individuals or organizations, for both commercial and non-commercial purposes.

No copyright fees or other charges are required.

Credit attribution is not required when using the musical works.

There are no limitations on the duration or number of uses.

Editing and modification are permitted, including fade-in/out, looping, cutting, and volume or sound quality adjustments.

Conditions for Works in Which the Music Is the Primary Content

When creating a work in which this track is the primary content—such as a piece intended mainly for listening, including background music for work (hereinafter referred to as a “Music Work”)—use of the Music Work is permitted only when it is distributed on user-generated content–based internet services that allow free viewing/listening (such as YouTube, Twitter, etc.; hereinafter referred to as “UGC Services”), and only with the following credit attribution:

Nyalpaca BGM Workshop [Track Title]

For normal use where the musical work is not the primary content, credit attribution is not required.

Prohibited Acts

Users may not engage in the following acts regarding the use of the musical works without the permission of “Nyalpaca,” unless expressly approved by “Nyalpaca.”

If a user engages in any of the following acts without permission, “Nyalpaca” may retroactively revoke the permission to use the musical works and take any measures available on UGC services, including suspension of distribution, suspension of monetization of the Music Work, or other appropriate actions.

Sale and Distribution of the Musical Works

Use involving distribution, sale, or public performance on platforms other than UGC Services (including but not limited to distribution on Apple Music or Spotify, registration with music recognition services such as Shazam, distribution as BGM, or sale of physical media such as CDs or music boxes).

Registering the musical works, or works containing the musical works, as music with fingerprinting systems such as YouTube Content ID.

Secondary Distribution of the Musical Works

Making the musical works themselves directly downloadable by an unspecified number of people via links other than those provided by Nyalpaca BGM Workshop.

Examples

・Making the musical works downloadable to the public via uploaders or websites

・Linking to the Nyalpaca BGM Workshop website or BOOTH

・Sharing with individuals or clients, or sending uploader links privately

・Distributing the music as part of a larger asset package (such as a template pack), rather than as a standalone track

Other Prohibited Acts

Registering the musical works, or works containing the musical works, with copyright management organizations such as JASRAC.

Falsely claiming or misrepresenting ownership of the musical works.

Distributing the musical works for the purpose of defamation or harassment.

Using the musical works in videos containing religious or political content.

Granting sublicenses, redistributing, transferring, lending, or reselling the audio files or sheet music to third parties.

Acts that violate or may violate laws or regulations.

Acts that are contrary to public order and morals or that promote criminal activity.

Acts that may damage the reputation or credibility of “Nyalpaca.”

Disclaimer

“Nyalpaca” shall not be liable for any damages incurred by users in connection with the use of the musical works.

Suspension of Distribution

“Nyalpaca” reserves the right to suspend distribution of the musical works at any time without prior notice.

However, users may continue to use musical works downloaded prior to such suspension in accordance with these Music Usage Terms.

Changes to the Music Usage Terms

“Nyalpaca” may modify these Music Usage Terms without prior consent from users if deemed necessary.

The revised Music Usage Terms shall apply to musical works downloaded after such changes.

Any changes will be posted as a revision history.

Governing Law and Jurisdiction

The formation, performance, and interpretation of these Music Usage Terms shall be governed by the laws of Japan.

Any disputes arising in connection with these Music Usage Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
