Terms of Music Use

This music is composed, produced, and distributed by the composer Nyalpaca.
Users may use the music in accordance with the following terms and conditions (hereinafter referred to as the “Music Usage Terms”).
By using the music, users are deemed to have agreed to these terms.

Ownership and Management of Rights

All copyrights, neighboring rights, and other intellectual property rights related to this music belong to Nyalpaca.
These Music Usage Terms grant users permission to use the music under the conditions described below; they do not transfer or assign any rights of ownership.

This music is managed directly by Nyalpaca and is not entrusted to any copyright management organization such as JASRAC.
However, some of Nyalpaca’s works are managed only for the “broadcasting” category through the music publisher Muleca Inc. and NexTone Inc. (except for certain tracks).

Because this applies only to blanket licenses for broadcasters, usage for video production purposes is free of charge.
Additionally, since commercials are excluded from management for both reproduction and broadcasting, they may also be used free of charge.

Conditions of Use

You may use this music for:

• Videos, livestreams, podcasts, drama CDs, or other audio productions
• Background music (BGM) in public or private spaces

Usage is permitted for both individuals and corporations, for commercial or non-commercial purposes.
No copyright or other usage fees are required.
Credit notation is not mandatory.
There are no limits on the period or number of uses.
You may freely edit the track (fade-in/out, looping, cutting, adjusting volume or sound quality, etc.).

Additional Conditions for Use in Musical Works

When creating a new musical work (hereinafter “Musical Work”) based on this music, use is permitted only if:

1. You add musical creativity to the original track (e.g., cover, arrangement, adding vocals, sampling, etc.), and
2. You distribute the resulting Musical Work only on user-generated content (UGC) platforms that allow free public listening, such as YouTube or X (Twitter).

Prohibited Uses

Users may not perform any of the following acts without permission from Nyalpaca.
If a user violates these rules, Nyalpaca may retroactively revoke the usage permission and take any necessary measures, including suspension of the distribution or monetization of the user’s Musical Work on UGC platforms.

Prohibited examples include:

• Distributing or otherwise using videos or images where this music is the main content
• Using the music in ways that do not meet the “Additional Conditions for Use in Musical Works,” including:
  • (Example not meeting condition ①): Merely mixing, looping, or reposting the original without adding new musical creativity (e.g., “work BGM” compilations)
  • (Example not meeting condition ②): Distributing or selling on non-UGC platforms, such as Apple Music, Spotify, or registering with music recognition services (e.g., Shazam), or physical sales such as CDs or music boxes
• Using this music, in whole or in part, in ways that exceed the allowed scope
• Registering this music or any work containing it in fingerprint systems like YouTube Content ID
• Registering this music or any work containing it with copyright management organizations such as JASRAC
• Misrepresenting or falsely claiming ownership of this music
• Using this music for defamatory or slanderous purposes
• Using this music in videos with religious or political content
• Granting third parties permission to reuse, redistribute, transfer, lend, or resell the audio data or sheet music
• Any acts in violation of laws or that may lead to such violations
• Any acts against public order and morals or that promote criminal behavior
• Any acts that could damage the reputation or credibility of Nyalpaca

Nyalpaca assumes no liability for any damages incurred by users arising from the use of this music.

Suspension of Distribution

Nyalpaca reserves the right to suspend the distribution of this music at any time without prior notice.
However, users may continue to use any previously downloaded versions under these Music Usage Terms.

Changes to the Music Usage Terms

Nyalpaca may change these terms at any time without prior consent from users if deemed necessary.
For music downloaded after such changes, the revised terms shall apply.
When the terms are updated, Nyalpaca will post a record of the revisions.

Governing Law and Jurisdiction

These Music Usage Terms shall be governed by and construed in accordance with the laws of Japan.
In the event of any dispute, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance.
